Pension buy-out - renaissance of the retiree company?
Pension provisions for pension commitments often constitute a significant liability in company balance sheets. Many employers are considering ways to outsource and "de-risk" their pension commitments. In recent times, the outsourcing of pension obligations to retiree companies, referred to as "pension buy-out" has come back into focus.
In a "pension buy-out" the relevant pension obligations are separated from the company into a separate company and subsequently sold to a separate entity, often an investor. With appropriate structuring, a significant relief on the balance sheet can be achieved.
Completely new approaches arise from the "Law for the Implementation of the Transformation Directive and Amendment of Other Laws" (“Gesetz zur Umsetzung der Umwandlungsrichtlinie und zur Änderung weiterer Gesetze” - UmRuG) dated February 22, 2023. According to this law, cross-border spin-offs of pension obligations are also facilitated in the European context.
